1. GENERAL

This document outlines the terms and conditions that apply to your use of the Rosella Street commerce accounts, services and features we make available to you to display, promote, offer, market, sell or rent your products and services to users of the Rosella Street platform. Your use of Rosella Street platform is governed by the Rosella Street Terms and Conditions, and we process data in accordance with our Privacy Policy and Data Policy.

2. WHO CAN SET UP A ROSELLA STREET BUSINESS ACCOUNT?

The person using the Rosella Street Business Account must be an authorized representative of that business or entity with the authority to bind the business or entity to the Commercial Terms.

By opening an Account, you agree to the Commercial Terms on behalf of the business or entity.

3. YOUR LISTING AND CONTENT

As a member of the Rosella Street community, you have the opportunity to create and upload a variety of content, like listings, messages, text, photos, videos and links. By using Rosella Street and posting listings, content or any information, you agree that you will not upload content that:

  • is false, inaccurate, deceptive, or misleading in any way
  • is illegal, fraudulent, or violates any applicable laws or regulations.
  • is offensive, hateful, or discriminatory content.
  • infringes upon any third party´s copyright, patent, trademark, trade secret or other proprietary rights or intellectual property rights, rights of publicity, confidentiality or privacy
  • promotes violence, self-harm, or harm to others.
  • contains adult content or explicit material.
  • violates our community guidelines or policies.
  • contains any personal information of another platform User (including phone number, email address, residential address, or full name)
  • contains any malicious code and virus which could damage the platform or interfere with a User´s personal information.

You are responsible for your listings and content.

You grant us certain permissions to use, display, and share your content in accordance with our policies and guidelines. You grant us a worldwide, non-exclusive, irrevocable, sub-licensable, perpetual and royalty-free license to use, display, copy, reproduce, distribute, adapt, re-format, modify, publish, translate, store, license, sub-license, assign, transfer, prepare derivative works, and exploit your User Content (including any intellectual property rights included in the User Content) anywhere and in any form for the purposes of providing our Service or for any purpose in connection with the operation of our business, including for marketing purposes. You agree not to assert any moral rights or rights of publicity against us for using your User Content. You also recognize our legitimate interest in using it, in accordance with the scope of this license, to the extent your User Content contains any personal information.

We reserve the right to remove any listings or content that violate our platform's policies, guidelines, or applicable laws and regulations.

4. YOUR PRODUCTS AND SERVICES

You should provide accurate and up-to-date information about your products and services, including pricing, availability, description.

You are responsible for managing, paying for, and fulfilling any sales, warranties, and customer service-related responsibilities in connection with your products and services. You should provide clear terms and conditions associated with your products and services. In the event of returns, refunds, or accommodations requested by Users, you are responsible for handling these matters in accordance with your stated terms and conditions and applicable laws and regulations.

You are responsible for providing customer service to Users in connection with your products and services. You are responsible for providing, managing, paying for, and fulfilling any sales, warranty and customer service, returns, refunds or accommodations to Users in connection with your use of a Commerce Feature.

You are solely responsible for the integrity and safety of your products and services. Rosella Street does not endorse or guarantee the quality, safety, or legality of your offerings.

Rosella Street reserves the right to request verification of the identity and authenticity of your products and services. This may involve providing relevant documentation or information upon request.

Rosella Street reserves the right to review and monitor listings for compliance with our Terms and Conditions and with local, national, and international laws and regulations. Rosella Street retains the right to suspend or remove listings that violate these terms or applicable laws and regulations.

The platform Users retains the right to report listings that they believe violate our terms and conditions, are unsafe, or do not comply with local, national, or international laws and regulations. Upon receiving a report, Rosella Street will promptly intervene and investigate the reported listing. If a reported listing is found to be in violation of our terms and conditions or legal requirements, Rosella Street will take appropriate actions, which may include suspension, removal, or other necessary measures to ensure the safety and integrity of the platform.

You are responsible for applicable taxes relating to your products and services, including but not limited to sales tax, value-added tax (VAT), or any other relevant tax obligations as required by local, national, and international tax laws and regulations. You should accurately report and remit any applicable taxes associated with their sales to the appropriate tax authorities. Rosella Street does not assume any responsibility for the calculation, collection, reporting, or remittance of taxes related to your listings. It is your sole responsibility as a business owner to fulfill your tax obligations.

5. FEES AND COMMISSIONS

When selling a product or service, you agree to pay

  • A 5 % commission on the total sales amount to Rosella Street.
  • A 3% + A $0.3 payment processing fee when a payment is made through Stripe.

When renting a product, service or space, you agree to pay

  • A 12 % commission on the total sales amount to Rosella Street.
  • A 3% + A $0.3 payment processing fee when a payment is made through Stripe.

6. YOUR USE OF ROSELLA STREET USERS’ DATA

You may only use any User’s data, content, or other information you receive from Rosella Street in connection with your use of the Commerce Accounts, Services and Features in accordance with

You may not sell or misuse User Data. Without limiting the generality of the foregoing, you may use User Data

  • to support the transactions arising from the User's use of the Commerce Features
  • for any purpose for which you have obtained the valid consent of the User or otherwise have a legal basis

You may not engage in direct email marketing to Users unless the User has opted into receiving marketing emails from you.

7. ROSELLA STREET’S SERVICES

Rosella Street provides commercial services to enable businesses

  • to display and sell or rent their products, services or spaces directly to Rosella Street Users
  • to promote and market their brands, products, services or spaces to Rosella Street platform

8. ROSELLA STREET’S ROLES AND OBILIGATION

Rosella Street offers commercial services designed to empower businesses to effectively showcase, sell, or rent their products, services, or spaces directly to the Rosella Street Users. Our platform serves as a dynamic marketplace where businesses can connect with potential customers and clients, facilitating seamless transactions and interactions. Businesses are responsible for fulfilling orders, providing accurate information and ensuring user satisfaction.

While Rosella Street provides tools and features to assist businesses in promoting and marketing their brands, products, services, and spaces, we are not responsible for the performance and results of these promotional efforts.

Rosella Street reserves the right to modify or discontinue any Commerce services and features at its discretion, with or without prior notice, and without incurring liability to businesses.

Rosella Street may conduct testing and implement improvements that impact how businesses use our commercial services and features. These changes are aimed at enhancing the user experience and the effectiveness of the platform.

Rosella Street may make ratings and reviews available regarding businesses and their listings. This feedback mechanism contributes to transparency and trust within the platform's community.

9. PAID SERVICES AND FEES

9.1 Subscription models, fees and duration

Subscription Plans: Rosella Street offers four specially curated service plans designed to boost your exposure, sales, and brand awareness, namely Business Basic, Business Starter, Business Accelerator and Business All-rounder, each with its associated fees. The benefits and fees of each tier are stated here.

Subscription Fees: You must pay the specified fee for your selected Subscription Plan.

Subscription Duration: The Subscription Duration represents the specific period for which a subscriber has access to the subscribed service. Our Subscription Duration is set at one month. This means that from the date of the initial subscription or the start of the most recent renewal, you will have access to the service for a duration of one month. Our subscription is designed to auto-renew, allowing it to automatically extend for an additional one-month duration at the end of each current subscription period, unless you decide to cancel it before the next billing date.

Upgrading or Downgrading: You can upgrade or downgrade your Subscription Plan at any time. If you upgrade from a free plan to a paid subscription plan, your 30-day subscription cycle begins on the day you upgrade. If you upgrade from a paid plan to a higher subscription plan, you will be billed for the new plan immediately, and your subscription cycle will reset to a new 30-day period starting from the day of the upgrade. Any remaining days from your previous plan will be credited toward the new plan.

If you downgrade your Subscription plan mid-cycle, you’ll still have access to the effective plan benefits until the end of the current subscription cycle. After the plan ends, you’ll be reverted back to the benefits available for your newly chosen subscription plan.

9.2 Autorenewal/Payment

Auto-Renewal: Our subscriptions are configured for auto-renewal by default. This means that your subscription will automatically be renewed on a monthly basis, extending for an additional month, unless you decide to cancel it before the next billing date. Auto-renewal is designed to ensure uninterrupted and continuous access to our services

Payment Method and Authorization: By subscribing to our services, you agree to set up a direct debit and provide and maintain valid payment card information. You authorize us to keep your payment card information on file and to charge the card on file for all fees payable during your subscription. This authorization covers not only the initial subscription fee but also any recurring fees. We use GoCardless to facilitate and manage payment collection on our behalf. It was selected for its expertise in secure and efficient payment processing. By subscribing to our services, you acknowledge and consent to the use of GoCardless's payment processing services for managing payments and receipts related to your subscription. This acknowledgment and consent also include authorization for the disclosure of payment method information to GoCardless. You are bound by the Terms and Conditions of GoCardless that apply in their jurisdiction when transferring money using the platform (noting that GoCardless's Terms and Conditions may be updated from time to time).

We are committed to safeguarding your payment information, and as such, your payment data is stored and handled securely in strict accordance with our Data Policy and Privacy Policy.

You agree that if Rosella Street changes its payment provider, your information related to payments may be shared with the new payment provider.

Billing Notification: You will receive an email notification in advance of the renewal, to remind you of the upcoming scheduled payment.

Payment Failure: In the event of a payment failure (for example, if your Authorized Payment Method has expired or is no longer valid), you will be notified to update your payment card information within 30 days to avoid service interruption. If you fail to provide a new eligible payment method within 30 days, your subscription will be canceled.

9.3 Cancellation and refund

You can cancel your subscription at any time. To cancel your subscription, you need to email us at hey@rosellastreet.com before the next due date of your subscription fee. The cancellation will take effect at the end of the current billing cycle, during which you can continue to use the services. We don’t provide refunds for partial subscription periods.

9.4 If we terminate your subscription

Rosella Street reserves the right to terminate or suspend your subscription for violations of the Commercial Terms, Platform Terms and Conditions, Data Privacy and Privacy Policy, or misuse of the service. In this case, we may terminate your subscription immediately and will not give any refund. To resume your subscription, you must remedy the identified issues and comply with the relevant terms and conditions. Reinstatement of services is at the discretion of Rosella Street and may be subject to additional terms or conditions as deemed necessary.

9.5 Changes to Subscription Benefits and Fees

Changes to Subscription Benefits: Rosella Street reserves the right to make changes to the subscription benefits at its discretion. These changes may include, but are not limited to, additions, modifications, or discontinuation of certain features, content, or services included in the subscription. Any changes to subscription benefits will be communicated to users through reasonable means, such as email, website notifications, or in-app notifications at least 30 days in advance.

Changes to Subscription Fees: Rosella Street reserves the right to adjust subscription fees periodically. These changes may result from general economic conditions, inflations, or business considerations. Any changes to subscription fees will be communicated to users through reasonable means, such as email, website notifications, or in-app notifications at least 60 days in advance. The new fees will apply at the start of the next renewal term.

9.6 Our Liability

While we strive to maintain uninterrupted service, Rosella Street shall not be held liable for any temporary interruptions or downtimes of our services due to maintenance, technical issues, or unforeseen events such as wars, natural disasters, or other factors beyond our control. We will make reasonable efforts to minimize such interruptions and restore service promptly.

When using our services, you are responsible for ensuring your compliance with all applicable laws, regulations, and policies. Rosella Street shall not be liable for any legal violations or consequences resulting from the use of our services.

Our services may require you to provide your content for promotional purposes. Rosella Street makes every effort to ensure the accuracy and reliability of the content. However, we do not guarantee the accuracy, completeness, or reliability of the content provided by you, and we shall not be liable for any inaccuracies or errors in the content.

While Rosella Street offers promotional services as part of the subscription, we do not guarantee or warrant the effectiveness or outcomes of the promotional efforts. The success of promotional efforts may depend on various factors, including market conditions, audience response, and competition, which are beyond our control.

Our subscription services may involve the use of third-party platforms, such as social media advertising channels. Rosella Street is not responsible for the policies, terms, or actions of these third-party platforms, and we shall not be held liable for any issues or consequences arising from their use.

10. IF YOU WANT TO CLOSE YOUR BUSINESS ON ROSELLA STREET

If you don't want to use the Rosella Street commerce services anymore, you can contact us to deactivate your account. If a request comes from someone who is not the account holder, we may ask you to provide proof of who you are and your relationship to the user in question. Closing your Account will not affect any outstanding payments you have with us. If you are currently subscribed to any paid services, you will continue to be subject to the terms and conditions of your existing subscription until the end of its specified duration.

11. IF WE WANT TO END OUR RELATIONSHIP

Rosella Street reserves the right to review your use of commerce accounts, services and features and take any actions we deem necessary or advisable in our discretion to protect us or our Users, which may include remedies up to and including susception or termination of any or all our service to you. Such actions may result in the immediate cessation of services and your access to any content linked or associated with your account. We encourage you to maintain your own back up of your User Content, as we do not guarantee the permanent availability of User Content.

12. UPDATES TO TERMS AND CONDITIONS

Rosella Street may change or update these Commercial Terms at any time in our sole discretion. You will be informed of updates by email, or by posting the amended Commercial Terms here and updating the “Last Updated” date. All amended Commercial Terms will become effective immediately on the date posted unless we state otherwise and will apply prospectively after such changes and updates become effective. Your continued use of the Commerce Features constitutes acceptance of those changes and updates. If you do not agree to any updated Commercial Terms, you must inform Rosella Street by email, and Rosella Street will terminate your Rosella Street account.
